How exit tax works
An exit tax protects a country's claim over value built up while a person or business was connected to it. Instead of waiting for a future sale after the taxpayer has moved, the law can treat the departure as a sale at market value. That is why it can produce tax even when no shares, crypto, or business assets have been sold and no cash has arrived.
There is no single global exit-tax model. Some rules apply to individuals who cease residence after holding significant interests; others concern a company that transfers assets, residence, or a permanent establishment. The US expatriation regime is particularly distinctive: covered expatriates may face a mark-to-market calculation and special treatment for deferred compensation and trusts. In the EU, exit-tax rules form part of the Anti-Tax Avoidance Directive framework for companies, but national mechanics remain important.
Valuation is often the practical pressure point. Private-company shares, options, intellectual property, and illiquid funds can have substantial paper gains with uncertain market values. A tax return may be due soon after departure even if a later sale is years away. Deferral or instalment treatment can exist, but can be conditional and may not be available for every asset or destination.
Plan before the move becomes effective. Identify assets, acquisition costs, valuations, shareholdings, trusts, and the exact date residence ends. Also check whether the destination country gives a basis step-up or may tax the same eventual sale. An exit-tax review is not pessimism; it is basic move sequencing for anyone with meaningful unrealised value.
Why it matters for founders and expats
- A move can create a bill before a sale or liquidity event.
- Personal and corporate exit taxes have different triggers, reliefs, valuations, and deferral choices.
Practical examples
US expatriation
Covered US expatriates can be subject to a mark-to-market regime that treats much property as sold the day before expatriation, subject to statutory exclusions and special items.
Company asset migration
A company moving assets or tax residence can trigger an exit-tax calculation on built-in value under domestic law.
Common misconceptions
Exit tax only applies when I renounce citizenship.
Many countries have residence-departure or company-migration rules; citizenship is only one possible trigger.
No sale means no gain.
Exit taxes commonly use a deemed sale at market value.
Frequently asked questions
Can exit tax be deferred?
Sometimes. Deferral is jurisdiction-specific and may require an election, security, interest, reporting, or loss of relief after a later move.
